These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and VORENTH (“Company,” “we,” “us,” or “our”) governing your access to and use of the VORENTH platform, website, APIs, reports, email briefings, and all related services (collectively, the “Platform”).
By creating an account, accessing, or using the Platform in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Platform.
1. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into a binding contract to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Account Registration and Security
To access the Platform, you must create an account by providing accurate and complete information. You are solely responsible for:
- Maintaining the confidentiality of your account credentials.
- All activities that occur under your account, whether or not authorized by you.
- Notifying us immediately of any unauthorized use or security breach.
We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or are being used in violation of these Terms.
Each account is for a single individual user. You may not share your login credentials with others, and you may not create multiple accounts to circumvent usage limits, access restrictions, or subscription tiers.
3. Service Description
VORENTH is an intelligence operating system that provides AI-synthesized analysis covering geopolitical risk, narrative dynamics, market transmission pathways, commodity and currency analysis, conflict monitoring, and related intelligence domains. The Platform generates structured intelligence reports, probabilistic scenario modeling, risk assessments, and signal tracking based on publicly available data sources processed through proprietary analytical methodologies.
The Platform includes the following analytical systems: Intelligence Terminal (structured AI-synthesized reports), Cascade Engine (multi-order causal chain modeling), Intelligence Graph (entity-relationship exploration), Forecast Tracking (forward claim monitoring with accuracy scoring — distinct from analytical signals which are informational and unscored), Signal Mesh (autonomous multi-domain anomaly detection), and Narrative Warfare Detection (coordination detection and integrity scoring). Feature availability varies by subscription tier.
3.1 Automated and Scheduled Content
Certain Platform features generate content autonomously on scheduled intervals, including but not limited to: Signal Mesh anomaly scans, Narrative Warfare coordination scans, daily email briefings for watchlist topics, and watchlist re-analysis. Automated outputs are subject to the same disclaimers and limitations as on-demand intelligence reports (see Section 4). We do not guarantee the timeliness, completeness, or accuracy of automated outputs.
3.2 Analytical Scores and Metrics
The Platform generates various analytical scores including confidence scores, freshness scores, conviction scores, Brier accuracy scores, narrative integrity scores, calibration metrics, and probability estimates. Probability estimates may be calibrated against public prediction market data (including Polymarket) and historical base rates. Conviction scores are composite metrics derived from source convergence, analytical depth, historical calibration, and data freshness — they reflect the strength of the analytical foundation, not prediction certainty. All scores reflect computational modeling and are not certifications, guarantees, or professional assessments. Scores may be revised as new information becomes available or as calibration data accumulates. Users should not treat any score as definitive or as a measure of future accuracy.
3.3 Signal Mesh and Anomaly Detection
Signal Mesh monitors multiple intelligence domains for anomalous patterns and cross-domain signal convergence. Anomaly detection is probabilistic and may produce false positives or miss genuine signals. Signal Mesh outputs should be treated as analytical indicators, not actionable alerts.
3.4 Narrative Warfare and Coordination Detection
Narrative Warfare Detection identifies patterns consistent with coordinated information operations, including source coordination, velocity anomalies, and sentiment classification. These detections are probabilistic assessments, not verified attributions. The Platform does not attribute information operations to specific actors or organizations. Users should exercise independent judgment when interpreting narrative integrity scores and coordination indicators.
4. Disclaimer — Not Professional Advice
THE PLATFORM AND ALL CONTENT, REPORTS, ANALYSES, PROBABILITY ESTIMATES, SCENARIO MODELS, MARKET IMPACT ASSESSMENTS, AND RISK EVALUATIONS PROVIDED THROUGH THE PLATFORM ARE FOR INFORMATIONAL AND ANALYTICAL PURPOSES ONLY.
Nothing on the Platform constitutes financial, investment, legal, tax, accounting, or any other form of professional advice. You should not rely on Platform outputs as the sole basis for any business, investment, or personal decision. VORENTH does not recommend the purchase or sale of any security, asset, or financial instrument.
ALL REPORTS, ANALYSES, AND PLATFORM OUTPUTS ARE GENERATED BY ARTIFICIAL INTELLIGENCE. AI-generated analysis may contain inaccuracies, misinterpretations of source data, logical errors, or outdated information. The Platform synthesizes publicly available data and does not have access to classified, proprietary, or non-public information. You should independently verify all factual claims, probability estimates, and analytical conclusions before acting on them.
Probability estimates, confidence scores, and conviction scores reflect analytical modeling and are inherently uncertain. Prediction market data used for calibration reflects third-party market consensus and may be inaccurate. Historical calibration and forecast accuracy data inform but do not guarantee future analytical quality. Past signal patterns do not guarantee future outcomes. Always consult qualified professionals before making decisions based on intelligence analysis.
5. Subscription Plans and Payment
5.1 Plans
The Platform offers multiple subscription tiers (currently “Recon,” “Operator,” and “Command”), each with different feature access, usage limits, and pricing. We reserve the right to modify plan features, pricing, and availability at any time with 30 days' notice to affected subscribers.
5.2 Billing
Paid subscriptions are billed in advance on a monthly or annual basis through our payment processor, Stripe. You authorize us to charge your provided payment method for all fees associated with your subscription. All payment processing is handled by Stripe, which maintains PCI DSS Level 1 compliance. VORENTH does not store your credit card information.
5.3 Failed Payments
If a payment fails, we will attempt to charge your payment method up to three additional times over the following 7 days. If all attempts fail, your subscription may be downgraded to the free tier until a valid payment method is provided. You remain responsible for any outstanding charges.
5.4 Cancellation
You may cancel your subscription at any time through your account settings or the Stripe billing portal. Upon cancellation, your subscription remains active until the end of your current billing period. No prorated refunds are issued for partial billing periods. Unused searches or features do not roll over after your subscription ends.
5.5 Refunds
Refund requests are evaluated on a case-by-case basis within 30 days of the charge. Refunds may be issued if the Platform experienced extended unavailability (more than 24 consecutive hours) during your billing period or if there was a billing error. Contact intel@vorenth.com with your request. Payment disputes may also be initiated through your credit card issuer, subject to Stripe's standard dispute resolution process.
5.6 Free Tier
The free tier (“Recon”) provides limited access and may be modified, restricted, or discontinued at any time without notice.
6. Intellectual Property Rights
6.1 Platform Ownership
The Platform, including but not limited to its source code, algorithms, analytical methodologies, synthesis processes, classification systems, user interface designs, visual elements, branding, trademarks, trade dress, and all associated intellectual property, is the exclusive property of VORENTH and is protected by copyright, trademark, trade secret, and other intellectual property laws.
6.2 Report Ownership
All intelligence reports, analyses, scenario models, risk assessments, and other outputs generated by the Platform (“Reports”) are proprietary works of VORENTH. Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use Reports solely for your own internal, non-commercial analytical purposes (or internal business purposes for paid subscribers).
6.3 Restrictions
You expressly agree that you will NOT:
- Redistribute, resell, sublicense, or republish Reports or any Platform output to third parties.
- Use Reports or Platform outputs to build, train, or improve any competing product, service, or analytical system.
- Scrape, crawl, data-mine, or systematically extract data or content from the Platform by any automated means.
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or analytical methodologies of the Platform.
- Remove, alter, or obscure any copyright notices, watermarks, digital fingerprints, or proprietary markings from Reports or Platform outputs.
- Frame, mirror, or create derivative works based on the Platform or its outputs.
- Use the Platform or its outputs in any manner that competes with or substitutes for the Platform.
- Share, forward, or distribute daily briefing emails or their contents to non-subscribers.
6.4 API Usage (Coming Soon)
Programmatic API access is not currently available. When API access becomes available, it will be documented separately and subject to additional terms including rate limits, usage restrictions, and tier-specific access levels. Internal API endpoints used by the Platform are not intended for direct access and may change without notice.
6.5 Digital Fingerprinting
Reports and Platform outputs may contain invisible digital fingerprints and watermarks that uniquely identify the generating user account. These identifiers are used to enforce intellectual property protections and trace unauthorized redistribution. Attempting to remove, alter, or circumvent these identifiers is a violation of these Terms and may result in immediate account termination.
7. Acceptable Use
You agree not to use the Platform to:
- Violate any applicable law, regulation, or third-party right.
- Circumvent, disable, or interfere with security features, rate limits, or access controls.
- Transmit malware, viruses, or other malicious code.
- Attempt to gain unauthorized access to any part of the Platform or its infrastructure.
- Use automated tools, bots, or scripts to access the Platform except through authorized API access.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Engage in any activity that interferes with or disrupts the Platform or its servers.
- Create multiple accounts to exceed usage limits or circumvent access restrictions.
- Use the Platform to facilitate sanctions evasion, export control violations, or any activity prohibited by applicable trade compliance laws.
- Access the Platform from jurisdictions where such access would violate local law or US sanctions regulations.
8. Data and Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and processing of your data as described in the Privacy Policy.
You retain ownership of the search queries you submit. We may use aggregated query patterns and usage data to improve the Platform's analytical capabilities. Search queries may be classified by topic category to improve analysis quality. To provide better analysis, new queries may reference your prior reports and signal history within your account. We will never sell your personal data to third parties.
9. Availability and Modifications
We strive to maintain Platform availability but do not guarantee uninterrupted or error-free service. We reserve the right to:
- Modify, suspend, or discontinue any feature or the entire Platform at any time.
- Perform maintenance that may temporarily affect availability.
- Update, change, or replace data sources used in analysis.
- Modify analytical methodologies to improve output quality.
We will make reasonable efforts to notify users of material changes that affect their subscription.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, OR NON-INFRINGEMENT.
IN NO EVENT SHALL VORENTH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS OPPORTUNITIES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED US DOLLARS ($100). NOTWITHSTANDING THE FOREGOING, NOTHING IN THESE TERMS SHALL LIMIT LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, OR CLAIMS ARISING FROM UNAUTHORIZED DISCLOSURE OF PERSONAL DATA (DATA BREACHES) TO THE EXTENT SUCH LIMITATION IS PROHIBITED BY APPLICABLE LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless VORENTH and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform or any Report.
- Your violation of these Terms.
- Your violation of any applicable law or regulation.
- Any decisions or actions you take based on Platform outputs.
- Any unauthorized redistribution of Reports or Platform outputs.
VORENTH will indemnify you against third-party claims arising directly from VORENTH's gross negligence, willful misconduct, or unauthorized disclosure of your personal data in breach of our Privacy Policy, subject to the liability limitations in Section 10.
12. Termination
We may suspend or terminate your account and access to the Platform immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the Platform.
Upon termination: (a) your license to use the Platform and all Reports is immediately revoked; (b) you must cease all use of Platform outputs; (c) we may delete your account data in accordance with our Privacy Policy; (d) any outstanding fees become immediately due.
Sections 3.2, 3.3, 3.4, 4, 6, 10, 11, 13, and 14 survive termination of these Terms.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Texas. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.
Opt-Out: You may opt out of this arbitration clause by sending written notice to intel@vorenth.com within 30 days of first accepting these Terms. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the state or federal courts located in Texas.
Small Claims Exception:Notwithstanding the above, either party may bring an individual action in small claims court in their jurisdiction for claims within the court's jurisdictional amount.
14. General Provisions
14.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and VORENTH regarding the Platform and supersede all prior agreements, understandings, and communications.
14.2 Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
14.3 Waiver
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
14.4 Assignment
You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations without restriction.
14.5 Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before they take effect. Your continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.
